End User License Agreement (EULA)

Effective Date: June 15, 2026

1. License Grant

Indigital Group grants you a limited, non-exclusive, non-transferable, revocable license to use the Application solely for your internal business purposes and in accordance with this Agreement.

2. Ownership

The Application and all associated intellectual property rights remain the exclusive property of Indigital Group. This Agreement does not transfer any ownership rights to you.

3. Permitted Use

You may use the Application to:

• Connect your QuickBooks Online account.
• Create, update, and retrieve accounting data through authorized APIs.
• Synchronize business information between supported systems.
• Manage invoices, customers, products, and related records.

4. Restrictions

You agree that you will not:

• Copy, modify, distribute, or resell the Application.
• Reverse engineer, decompile, or disassemble any part of the software.
• Use the Application for unlawful purposes.
• Attempt to gain unauthorized access to our systems or services.
• Interfere with or disrupt the operation of the Application.
• Use the Application in violation of Intuit's policies or applicable laws.

5. QuickBooks Integration

The Application uses Intuit's QuickBooks APIs to access data that you explicitly authorize. Your use of QuickBooks Online remains subject to Intuit's own terms of service and privacy policies.

6. User Responsibilities

You are responsible for:

• Maintaining the confidentiality of your QuickBooks credentials.
• Ensuring that authorized users comply with this Agreement.
• Verifying the accuracy of data transmitted through the Application.
• Maintaining backups of important business records.

7. Data and Privacy

Your use of the Application is also governed by our Privacy Policy, which explains how your information is collected, used, and protected.

8. Availability

While we strive to provide uninterrupted service, we do not guarantee that the Application will always be available or error-free. Maintenance, updates, or external service interruptions may temporarily affect functionality.

9. Disclaimer of Warranties

The Application is provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

10. Limitation of Liability

To the maximum extent permitted by applicable law, Indigital Group shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, business interruption, loss of data, or financial loss arising from the use or inability to use the Application.

11. Indemnification

You agree to indemnify and hold harmless Indigital Group from any claims, liabilities, damages, or expenses arising from your misuse of the Application or violation of this Agreement.

12. Termination

We may suspend or terminate your access to the Application at any time if you violate this Agreement or if continued access would create legal, security, or operational risks.

You may stop using the Application and revoke its access to your QuickBooks account at any time.

13. Updates

We may release updates, bug fixes, or enhancements from time to time. Such updates may automatically replace or modify existing functionality and will be governed by this Agreement unless otherwise stated.

14. Governing Law

This Agreement shall be governed by and construed in accordance with the laws applicable in the jurisdiction where Indigital Group operates, without regard to conflict of law principles.

15. Severability

If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

16. Entire Agreement

This Agreement constitutes the entire agreement between you and Indigital Group regarding the use of the Application and supersedes any prior agreements or understandings.
